Introduction

This Online Banking Agreement and Disclosure governs your use of Online Banking. Throughout this web site, the Agreement and Disclosure will be referred to as “Agreement”. By using Online Banking, you agree to all of the terms of this Agreement. Please read it carefully and keep a copy for your records.

Definitions

You or Your* – The person(s) subscribing to or using Online Banking.

We, Us, Our or Stock Yards Bank* – Refers to Stock Yards Bank & Trust Company and any agent, independent contractor, designee, or assignee Stock Yards Bank may involve in the provision of Online Banking.

Business Day – Any calendar day other than Saturday, Sunday or any holiday recognized by Stock Yards Bank. Bill payments are processed on all Business Days that both the Federal Reserve Bank and the United States Postal Service are operating and open for business.

Business Day Cut-Off – Stock Yards Bank’s primary banking offices are located in Louisville, KY and our Business Day is based on the Eastern Time zone. For posting purposes, we will process all transactions completed by 6:00PM on the same Business Day. Transactions completed after 6:00PM, including transfers, will be processed on the following Business Day.

About Online Banking

Stock Yards Bank’s Online Banking consists of an online banking website that provides an array of financial services to its customers. Stock Yards Bank allows customers to access their data with full statements and complete transaction detail. The Online Banking system that is accessible by Stock Yards Bank’s customers over the Internet currently enables:

  1. Account Inquiries, Balances, Rates, etc.
  2. Account Statements
  3. Check Images
  4. Transaction Downloads
  5. Account Transfers
  6. Loan Payments
  7. Stop Payment Orders
  8. Downloadable Mobile Banking Application

For customers who enroll for Bill Pay, these additional functions are available:

  1. One-time Payments
  2. Fixed Recurring Payments
  3. Occasional Payments

Online Security Information

Stock Yards Bank’s Online Banking system utilizes a comprehensive security strategy to protect your accounts and transactions conducted over the Internet. In addition to our log-on security, we use the SSL (secure socket layer) encryption technology for everything you do in the Online Banking system. This technology is automatically activated by your browser when it attempts to connect to our system and it will support 128 bit key lengths. Whenever SSL is securing your communications, the browser will typically indicate the “secure session” by changing the appearance of a small icon of a padlock at the bottom of the screen from opened to locked. What this means to you is your communications are scrambled from your browser to our servers at all times so no unauthorized party can read the information as it is carried over the Internet. In addition, our servers have been certified by a “Certificate Authority” that assures you that you are actually talking to our servers instead of someone pretending to be us.

During your use of the Online Banking system, we will pass a “cookie” to your browser for identifying you during the session. We do not (and can not) use our cookies to obtain new information about you. A “cookie” is security data that is given to a browser by a web server that is returned by the browser on subsequent transmissions to identify the user and encryption information. When you log onto the system, this cookie enables us to process multiple transactions during the session without you having to provide your User ID and Password for each individual transaction. When you log off, or after twenty minutes, the cookie is no longer accepted and must be renewed by requiring the Password to be reentered. A new cookie is used for each session. That way, no one can use the cookie to access your account.

In addition to the security measures described above, there may be other security notices posted on the website regarding security issues. It is your responsibility to read all applicable notices. One of the main security features guarding the use of the Online Banking system is the unique combination of your User ID and Password. It is important that you keep your Password secret. We will not be liable for any losses resulting from your permitting another person to use your User ID and Password to access the system, unless you have notified us that access by that person is no longer authorized. In addition, unless you are a natural person and the account from which an unauthorized transfer is made was established primarily for personal, family or household purposes, we will not be liable for losses resulting from your negligence in protecting the User ID and/or the Password.

Registration Process

The Online Banking service requires that you complete the initial registration process. This involves completing a secure online application that will identify Stock Yards Bank’s location and all the information that we will need to enable the service. Stock Yards Bank also requires any customer requesting online access to complete a verification process. This will enable us to make positive identification before releasing account information to the Internet. The Online Banking department will verify the information you submitted for accuracy and authorizations. Once you have completed the required steps, you will create your own unique Password and User ID.

Log-On Security

To help prevent unauthorized access, we will end your online session if we have detected no activity for 20 minutes. This is to protect you in case you accidentally leave your computer unattended after you logged on.

Because your Password is used to access your accounts, you should treat it as you would any other sensitive personal data. You should carefully select a Password that is hard to guess. Keep your Password safe. Memorize your Password and never tell it to anyone. You will be required to change your Password every 180 days. If you would like to change it more often, you may do so by clicking on the “Options” tab and selecting Edit under the Password section. 

You agree that access to the information and all transactions initiated by the use of your User ID and Password are authorized unless we have been notified to cancel the service.

Multi Factor Authentication

The FDIC now requires an additional layer of security. When logging in for the first time, you will choose an image and authentication pass phrase. You will also need to answer three challenge questions. One of these questions will be asked at random whenever you log on from a computer that is not recognized as your registered computer. The image and pass phrase will appear each time you log into the Stock Yards Bank secure web site.

Fees for the Online Banking Service

The Online Banking service is available to personal and certain small business account customers at no charge for all the account information and transfers. The Bill Pay feature is an optional service for checking accounts. You must enroll for Bill Pay to have this service added. There is no charge for the Bill Pay feature. Monthly and per-transaction account fees may still apply.

Cancellation of Online Banking

Your Online Banking may be canceled at any time by Stock Yards Bank in whole or part without prior notice due to insufficient funds in one of your accounts or other circumstances that may create a liability to us. You will remain responsible for all transactions approved by the system prior to the cancellation, and for any fees associated with the service. After cancellation, service may be reinstated once sufficient funds are available in your accounts to cover any fees and other pending transfers or debits. Your Online Banking will be canceled after 180 days of inactivity, for security reasons.  If you are currently enrolled in eStatements and eNotices, and your online access is deleted, you will start to receive paper statements.  Depending on your account type, this may result in a monthly fee.  The Bill Pay feature may be deactivated after 90 days of inactivity; you may contact us at 502-582-2571 to have the feature reactivated.

Balance Inquiries, Bill Payments and Transfers Limitations

You may use Online Banking to check the balance of your accounts and to transfer funds among your accounts. According to Federal regulations, you may not make more than six (6) pre-authorized or automatic transfers or bill payments from your Money Market Deposit Account during a given monthly statement period. There are no limits to the number of transfers or bill payments from your Checking Accounts. Stock Yards Bank currently limits the Bill Pay service to Checking Accounts only.

Balances shown in your accounts may include deposits subject to verification by us. The balance may also differ from your records due to deposits in progress, outstanding checks, other withdrawals, payments or charges. A transfer request may not result in immediate availability of the funds because of the time required to process the request. If you have further questions, contact our Online Banking Department.

The account balances are updated periodically and the system will display the most current “as of” date on the “accounts” summary page. There may be situations that cause a delay in an update of your balances. The system will use the most current balance available at the time of a transaction to base our approval. Stock Yards Bank is not liable for losses arising from such delays.

E-mail

The system includes an option to contact us under the Contact Us tab. Generally, requests received from the system will be processed within one business day using procedures that would handle similar requests received by mail for fax. If urgent action is required, we recommend that you contact Stock Yards Bank directly by telephone or in person.

Stop Payments

The Stop Payment feature allows you to submit stop payment orders on checks you have written from your account, subject to the terms and conditions disclosed at the time you complete the order. There may be additional fees associated with your placement of a stop payment order. This feature is not available to cancel payments scheduled through the Bill Pay service. If you need to stop or cancel a bill payment, you will need to contact the Bill Pay customer service department at 1-877-607-9582 or access “Live Chat” on the Bill Pay screen.

Your Rights and Liabilities

You agree to notify us immediately if your User ID and Password have been compromised, lost, stolen or used without your authorization. Contacting us by telephone at 502-582-2571 is the best way of limiting your possible loss. You may also contact us by mail at Stock Yards Bank & Trust Company, Online Banking Department, P.O. If you are a natural person and your affected account was established primarily for personal, family or household purposes, your rights and liabilities regarding losses that occur because your User ID or Password is used without your permission, or with respect to errors, are described in the Electronic Fund Transfers disclosure you received when you opened your account or subsequently.

No Signature Requirements

When any payment or other on-line service generates items to be charged to your account, you agree that we may debit the designated account, or the account on which the item is drawn, without requiring your signature on the item and without any notice to you.

Virus Protection

Stock Yards Bank is not responsible for any electronic virus or viruses that you may encounter. We encourage our customers to routinely scan their PC and diskettes using a reliable virus product to detect and remove any viruses. Undetected or unrepaired viruses may corrupt and destroy your programs, files and even your hardware. Additionally, you may unintentionally transmit the virus to other computers.

Termination

You may terminate the use of Online Banking by contacting Stock Yards Bank in writing by mail or personal delivery to Stock Yards Bank. If your account is closed or restricted for any reason, Online Banking accessibility will automatically terminate.

Limitation of Liability/Force Majeure

We will not be liable for any losses caused in whole or in part by third parties, by any event which is beyond our reasonable control or by our own actions or inactions, except those arising from our own gross negligence. The obligations of Stock Yards Bank under this Agreement shall be suspended to the extent and for so long as the performance of such obligations is hindered or prevented on account of labor disputes, war, riots, civil commotion, acts of God, fire, flood, failure of suppliers and/or subcontractors to perform, computer malfunctions, power failure, governmental restriction or regulation, storm, accident or any other cause which is beyond our reasonable control. We also will not be liable (i) if there are not adequate funds in an account to complete a requested transaction or the account has been closed or frozen, (ii) if a requested transaction would cause you to exceed your credit limit, (iii) if you incorrectly enter a requested transaction into the system, (iv) if you attempt to transfer funds from an account at another financial institution, (v) if you commit fraud or violate any law or regulation, (vi) if your Online Banking service has been terminated, or (vii) for any other reason stated in another agreement you have with us.

Governing Law

This Agreement is made between the parties when accepted by Stock Yards Bank at its principal office in Louisville, Jefferson County, Kentucky. This Agreement is governed by all applicable Federal banking laws and, where applicable, Kentucky law will apply without regard to Kentucky’s choice of law provisions. Any action brought in respect to this Agreement shall be brought in, and you consent to the personal jurisdiction of, the State courts in Jefferson County, Ky.

Assignment

This Agreement may not be assigned to any other party by you. We may assign or delegate it, in whole or in part, to any third party.

Amendments

We may amend the terms and conditions of this Agreement at any time with 30 days’ prior written notice to you. Your use of Online Banking after the effective date of any amendment to this Agreement will constitute your acceptance of the amendment. Amendments or changes to term(s) or condition(s) may be made by us without prior notice to you, if they do not result in higher fees, more restrictive service use, or increased liability to you.

Entire Agreement

This Agreement supplements any other agreements or disclosures related to your account(s), including the Deposit Account Agreement and Disclosures. If there is a conflict between this Agreement and any other agreement, or between this Agreement and any statements made to you by any of our employees or agents, this Agreement shall take precedence.
